These Terms of Service ("Terms") govern your use of the Saba AI-powered property management assistant service operated by Saba LLC ("Saba," "we," "us," or "our"). By using our service, you agree to these Terms.

1. Service Description

Saba provides an AI-powered resident support platform that enables property managers to offer 24/7 automated assistance to residents via SMS text messaging and web chat. Our service includes:

  • A dedicated phone number for resident SMS inquiries.
  • AI-powered responses based on uploaded property documents.
  • Analytics dashboard for property managers.
  • Human handoff capabilities for complex inquiries.

2. SMS Messaging Terms

Important SMS Disclosures:

  • By texting our dedicated number, you consent to receive automated text messages from Saba.
  • Message frequency varies based on your inquiries.
  • Message and data rates may apply.
  • Text STOP to unsubscribe from messages at any time.
  • Text HELP for assistance or contact support@saba.chat.
  • Participating carriers include major US carriers. Carriers are not liable for delayed or undelivered messages.

3. Account Registration

For Property Managers:

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must be at least 18 years old and have authority to bind your organization.
  • You are responsible for all activity that occurs under your account.

4. Property Manager Responsibilities

As a property manager using Saba, you agree to:

  • Ensure all uploaded documents are accurate and up-to-date.
  • Obtain appropriate consent from residents before enrolling them in SMS communications.
  • Provide residents with information about how to opt out of messages.
  • Not use the service for any unlawful purpose or to send spam.
  • Comply with all applicable laws, including TCPA and state privacy regulations.

5. Acceptable Use

You agree not to:

  • Use the service to send unsolicited or unauthorized messages.
  • Upload documents containing malicious content or false information.
  • Attempt to interfere with or disrupt the service.
  • Reverse engineer or attempt to extract source code from our platform.
  • Use the service in violation of any applicable laws or regulations.

6. AI-Generated Responses

Disclaimer: Saba uses artificial intelligence to generate responses based on uploaded property documents. While we strive for accuracy:

  • AI-generated responses are for informational purposes only.
  • Responses do not constitute legal, financial, or professional advice.
  • Property managers should verify critical information independently.
  • We do not guarantee the accuracy of AI-generated content.

7. Intellectual Property

  • Saba retains all rights to our platform, AI technology, and service.
  • You retain ownership of documents you upload to our platform.
  • You grant us a license to use your documents solely to provide the service.
  • The Saba name, logo, and branding are our trademarks.

8. Payment and Subscriptions

  • Subscription fees are billed monthly or annually as selected.
  • Payments are non-refundable except as required by law.
  • We may change pricing with 30 days' notice.
  • Failure to pay may result in service suspension or termination.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Saba is provided "as is" without warranties of any kind.
  • We are not liable for any indirect, incidental, or consequential damages.
  • Our total liability is limited to the fees you paid in the 12 months preceding the claim.
  • We are not responsible for carrier failures, message delays, or delivery issues beyond our control.

10. Indemnification

You agree to indemnify and hold Saba harmless from any claims, damages, or expenses arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

11. Termination

  • You may cancel your subscription at any time through your account settings.
  • We may suspend or terminate your account for violation of these Terms.
  • Upon termination, your access to the service will cease and your data may be deleted after 30 days.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through our service. Continued use after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New Jersey.
